TAX-EXEMPT ORGANIZATIONS & FOUNDATIONS
We assist nonprofit, charitable, or other tax-exempt clients in a wide variety of related areas, including formation, attaining recognition of exemption, compliance with federal and state law, and dissolution. We also help clients navigate the complex supporting organization rules, comply with rules against private inurement and excess benefits, and develop efficient corporate structures for unrelated business activities. Typical clients include health systems (including joint ventures between health systems and for-profit entities), foundations, advocacy organizations, trade associations, and PACs.
STATE AND LOCAL TAX
Our services include tax planning, compliance, and controversy in sales and use, income, commercial activity, public utility, and property taxation. We also assist with economic development issues, including tax abatements, tax credits, and other incentives.
ENERGY PROJECTS & INFLATION REDUCTION ACT
We provide tax guidance to energy projects from development through operation, including structuring advice and issuance of tax opinions required for financing. We have depth and experience with Ohio’s energy-related excise taxes, public utility tangible personal property tax, Qualified Energy Project tax abatements, and similar abatements available through the Ohio Air Quality Development Authority.
FEDERAL INCOME TAX
We provide planning federal income tax advice to business clients in the context of mergers and acquisitions, divestitures, corporate restructurings, new business operations, and other business transactions. Our clients, in addition to being from a wide array of industries, include C corporations, S corporations, partnerships, and trusts.
